Good AI governance is not a barrier to adoption - it is the foundation that makes adoption sustainable, defensible, and scalable. Finance teams that skip governance in the rush to deploy AI consistently encounter the same problems: shadow AI tools handling sensitive data without oversight, compliance gaps that audit picks up later, and AI errors that damage credibility because no validation process was in place to catch them. Why Governance Enables (Not Blocks) AI
The framing matters. Governance is not compliance theatre designed to make AI adoption harder. It is a set of structures that allow finance teams to use AI confidently, at scale, without the fear that something will go wrong in ways that damage the function's credibility.
Consider the alternative. Without governance, individual team members use AI tools in different ways, with different levels of quality control. Some connect AI tools to sensitive financial data through unofficial integrations that IT and compliance have not reviewed. Some accept AI output without validation because there is no defined standard for when human review is required. Some use AI for decisions that should require human accountability - and when something goes wrong, nobody is clear on who is responsible or how to fix it.
Finance functions that operate without AI governance are not moving faster - they are accumulating risk. The compliance team will catch up eventually, and the resulting crackdown is typically more disruptive than a well-designed governance framework would have been from the start. Good governance also accelerates adoption in a counterintuitive way. When team members have clear policies about what AI can be used for, what data it can access, and how output should be validated, they are more willing to use AI tools because the ambiguity and anxiety about doing something wrong is removed. Permission plus clear boundaries is more effective than permission alone.
The Five Pillars of AI Governance in Finance
A complete AI governance framework for finance rests on five pillars. Each addresses a distinct dimension of risk and accountability. You do not need all five pillars to be fully developed from day one - a lightweight version of each is better than a comprehensive version of some and nothing on others.
Pillar 1: Data Governance. AI systems are only as good as the data they process and the data handling policies they operate within. Data governance for AI in finance covers three things: which data AI tools are permitted to access and process; how sensitive financial data is handled by AI vendors (what their data retention, training, and sharing policies are); and how data quality is maintained to ensure AI outputs are reliable. In practice, this means categorising your financial data by sensitivity level, reviewing vendor data policies before any tool is deployed, and establishing a clean data standard for any process that will be AI-assisted. Poor data governance is the most common root cause of AI output quality problems in finance.
Pillar 2: Model Validation. AI models - whether vendor-provided or internally developed - need validation before they are trusted with consequential financial outputs. Validation means testing the model against known historical data to verify that its outputs are accurate, testing for systematic biases or errors in specific conditions, and establishing ongoing monitoring to detect model drift (where performance degrades over time as the environment changes). For finance teams using vendor AI tools, validation means understanding what the vendor guarantees about accuracy, what the model's known limitations are, and what your own testing has shown about performance in your specific data environment.
Pillar 3: Human Oversight. Every AI process in finance needs a defined human oversight model. This does not mean humans review every AI output - that defeats the purpose of automation. It means defining which categories of decision require human review before action, what the standard for acceptable AI accuracy is before autonomous action is permitted, and who is accountable when AI output is acted upon and something goes wrong. Finance teams typically operate three tiers: fully autonomous AI action for low-value, high-confidence processes (standard reconciliations within established thresholds); AI recommendation with human approval for consequential outputs (AI-drafted board commentary reviewed by CFO before publication); and human decision with AI assistance for high-stakes, context-dependent decisions (strategic forecasts, audit positions, major write-offs). Pillar 4: Compliance Alignment. AI in finance operates within a regulatory environment that is evolving faster than most governance frameworks. The EU AI Act classifies certain financial AI applications as high-risk, with specific conformity requirements. FCA guidance on AI in financial services sets expectations for model explainability and human oversight. GDPR has specific requirements for automated decision-making. SOX has implications for AI-generated financial data. Compliance alignment means understanding which regulations apply to your AI use cases, maintaining documentation that demonstrates compliance, and having a process for monitoring regulatory developments and updating your framework when requirements change.
Pillar 5: Continuous Monitoring. AI governance is not a one-time activity. AI tools change - vendors update models, add features, or change data handling practices. The environment changes - your data evolves, your processes evolve, regulations evolve. Performance monitoring means tracking AI accuracy metrics over time, reviewing whether AI tools are being used as intended, and identifying when policy updates are needed. This does not require significant resources - a monthly review of key metrics and a quarterly policy review is usually sufficient for most finance teams, though larger organisations with more AI tools in production will need more structured monitoring.

Building Your Policy
An AI policy for finance does not need to be a lengthy document. A well-structured five-to-ten page policy covers the essential governance requirements without becoming a bureaucratic burden. Below is a template outline you can adapt for your organisation. The goal is to create something your team will actually read and follow - accessible and practical, not comprehensive and theoretical.
AI Policy Template: Finance Function
1. Purpose and Scope
What AI tools this policy covers; which teams and processes are in scope; the policy owner and review schedule.
2. Approved Tools and Use Cases
An approved tool register with permitted use cases for each; the process for requesting approval of new tools; prohibited uses (e.g. processing personal data through unapproved tools).
3. Data Classification and Handling
Data sensitivity tiers (public, internal, confidential, restricted); which data categories may be processed by each AI tool; data retention and deletion requirements for AI-processed data.
4. Human Oversight Requirements
The three-tier oversight model (autonomous / recommendation + approval / human decision with AI assist); which finance processes fall in each tier; required review and sign-off procedures.
5. Quality Standards and Validation
Minimum accuracy requirements before AI is used in production; how AI output is validated against source data; what to do when AI output appears incorrect.
6. Accountability and Incident Management
Who is accountable for AI output quality; how errors are reported and investigated; escalation path for significant AI failures; documentation requirements.
7. Training Requirements
Mandatory training before using approved AI tools; annual refresher requirements; where to access training resources.
8. Review and Update Process
Review schedule (recommend quarterly); triggers for out-of-cycle review; how updates are communicated to the team.
The approved tool register in Section 2 deserves particular attention. "Shadow AI" - team members using unapproved AI tools with sensitive financial data - is one of the most common governance failures in finance teams. When people cannot get approval for tools they want to use, they use them anyway without approval. An approved tool register with a fast, clear approval process (ideally with a named person who responds within a week) is far more effective than prohibition without alternatives.
Common Governance Mistakes
Finance teams implementing AI governance tend to make a predictable set of mistakes. Each reflects a different failure mode in how governance is approached.
Too bureaucratic, too early. Building a comprehensive governance framework before you have deployed any AI is a mistake. You will create overhead for risks that do not yet exist, and the framework will not be grounded in the realities of how AI is actually being used. Governance should be commensurate with the scale and maturity of your AI deployment. Start with lightweight policies and add complexity as your AI footprint grows. A five-page policy for a team using one or two AI tools is appropriate; a 50-page framework is not.
No governance at all. The opposite mistake is equally common and more dangerous. Finance teams that move fast without any governance framework accumulate compliance risk and quality control problems that are difficult to unwind. The correct answer is lightweight governance from day one, not comprehensive governance from day one. Even a single-page policy covering approved tools, data handling, and human oversight requirements is significantly better than nothing.
One-size-fits-all oversight. Requiring human review for every AI output defeats the purpose of automation and creates a compliance burden that teams quickly stop following. Different AI processes have genuinely different risk profiles and need appropriately calibrated oversight. Applying the same review requirements to AI-generated bank reconciliations and AI-generated board commentary treats very different risks as identical - it is inefficient and ineffective.
Governance without training. Policies that team members do not understand or have not been trained on are not followed. Every governance framework needs an associated training programme - not a lengthy certification course, but enough context for team members to understand why the policies exist, what they require in practice, and what to do when they are uncertain. Treating governance as a one-time project. AI governance needs ongoing maintenance. The AI landscape changes fast - tools update, capabilities expand, regulations evolve, and your own AI use cases grow. A governance framework that was appropriate six months ago may have significant gaps today. Build in a review cadence from the start and assign someone the specific responsibility for monitoring the AI governance landscape and flagging when updates are needed. Governance for Different AI Maturity Levels
Not all finance teams are at the same stage of AI adoption, and governance requirements should reflect where you actually are rather than where you aspire to be. Over-engineering governance for a team at early stages creates unnecessary overhead; under-specifying governance for a team at advanced stages creates genuine risk.
Early stage (1-2 AI tools, limited use cases). At this stage, governance should be simple and enabling. The core requirements are: an approved tool register (even if it contains only one or two tools); a clear statement of what data can and cannot be processed through AI; a basic human oversight requirement (all AI-generated outputs reviewed before external distribution); and a named policy owner. This can fit on one or two pages and should take no more than a day to produce. The goal is establishing governance habits before the AI footprint becomes complex enough to make governance harder to impose.
Growth stage (multiple tools, several use cases across different finance processes). As AI use expands, governance needs to become more structured. This stage typically requires: a formal policy document covering the five pillars above; a tiered oversight model with defined requirements for each tier; a tool approval process with clear criteria; basic performance monitoring metrics; and quarterly policy reviews. At this stage, a designated AI lead - not necessarily a full-time role, but a named person with explicit responsibility - becomes important. Without this, governance tends to drift as teams focus on their operational priorities.
Mature stage (AI embedded across finance, including consequential autonomous processes). Mature AI deployment in finance - where AI is making autonomous decisions in areas like cash allocation, collections prioritisation, or anomaly flagging - requires correspondingly mature governance. This includes: automated monitoring of AI performance metrics with alerts for degradation; formal model validation protocols with documented testing results; a governance committee with cross-functional representation; a compliance mapping that tracks which regulations apply to each AI use case; and an incident management process with defined escalation and remediation procedures. At this stage, AI governance becomes part of the finance function's overall risk and control framework rather than a standalone document.
The important principle across all maturity levels is proportionality. Governance that is too light for your actual risk level creates compliance exposure. Governance that is too heavy for your actual AI deployment creates overhead that teams bypass in practice, which is arguably worse than having lighter governance that is actually followed. The right governance framework is the one your team will genuinely use - and that means calibrating to your actual situation rather than aspirational best practice.
